Capital is the lifeline of a start-up. We provide comprehensive support and review of your start-up’s need for capital investment. We then put you in touch with the proper individuals and entities.

Click on the following to get more information:
Venture Capital

First, we begin with a close examination of your capital needs. Whether it is seed financing for product development, research and initial market strategies or start-up capital to launch your company, round I or round II to expand your operations or round III for a profitable start-up looking to take itself to the next level.

Getting the right investor is as important as procuring the investment itself. Working closely together with you, we will determine whether your investors should be public / private venture capital entities, corporate venture capital, private equity investors, SBA capital grants, government grants, individual investors or a combination. We will then provide a comprehensive due-diligence review of the various investment opportunities to assure categorical compatibility between your start-up and its investors.

We will work closely with you and prepare you for meetings, negotiations, in structuring the capital investment agreement and represent you in any transaction.

Financing Proposals

A financing proposal is a key document with which the start-up describes its requirements for equity or debt, and how such financing will positively impact its current and future operations. It can be a stand alone document or as part of a business plan. For investors, the financing proposal spells out the potential rewards and risks and provides proposed detailed accounting as to the use of the capital.

Therefore, the financing proposal is a critical document for a start-up to draft as it provides investors with a material financial assessment of  the start-ups’ prospects in the context of their investment.

Term Sheets

Following a submission of a financing proposal, the investor prepares a ‘term sheet’ which is a document summarizing the details of a potential venture capital investment. The ‘term sheet’ is  a very important document because it is a dependable indication that the investor is actually interested in investing and to a large degree it serves as the basis for the final business and investment agreement

A ‘term sheet’ generally addresses the amount of the investment, type of security being purchased, the pre- and post- financing values of the start-up and its capitalization. It also may include a preliminary agreement with the owners and management of the start-up.

For the start-up, securing a term sheet from an investor is an important milestone in the quest for capital as it is the first document to signal the serious intentions that the investor has. For the investor, the term sheet can create certain legal obligations and financial liabilities which should be carefully considered.

Credit and Debt Management

Getting capital is the first part of the process, managing the capital is an important task for the start-up and a test before the investors of its ability to properly manage its finances. The same is applicable to debts the start-up accumulates. Interest outlays can quickly outrun cash flow and put the start-up’s financial health in jeopardy.

We will help the start-up assemble a team of financial professionals that will create a a financial solvency plan which will enable the start-up to devote its attention and efforts on its business instead of collateral financial affairs.

Stock Options

Charting the correct option plan is both an art and a necessity. Stocks are typically the first form of payment the start-up can afford to use and it is important to consider any stock disbursements in the context of a long term plan. Stock options also have significant tax implications to both the start-up and the receivers of the stocks.  And finally, stock options have to strictly comply with various legal requirements. As of late, the U.S. federal and state authorities have been paying close attention to stock disbursements and valuations with bigger companies as well as with smaller start-ups.

Analyst Support

One of the most important areas for start-ups is to cultivate relationships with analysts. Analysts are often the unspoken gate keepers of new or additional venture capital and are frequently the catalysts for media attention. It is essential to communicate effectively with analysts and be able to provide them with accurate data segmentation so that they are better able to accurately and favorably interpret the start-up’s business strategies, objectives and methods of implementations.

Our team will ensure that analysts are properly informed as to the start-up and the business sector it is in and are supplied with information that is pertinent , favorable and up to date.

Tax Impact

As a foreign entity your tax needs and requirements present unique opportunities and challenges. We will cooperate with your tax professionals in your home country and introduce you to tax professionals in the United States to assure an integrated tax model that will maximize your opportunities to claim tax benefits and lessen their impact.

Government Grants

The United States recognizes the importance of start-up companies and makes available financial and business assistance to qualifying entities. There are many programs available from both the federal government and virtually every state. Government programs include location assistance and zoning facilitation, funding research, grants and low interest loans, advancing business contacts and conferring trade benefits.

Assistance may also come from your native country which may have specific import / export programs or trade programs that may be to available to you.

Banking Liaison

Having a financial base in the U.S. is an important step to securing operations here. We will help your start-up open the necessary banking accounts and start you on your way to earning credit. As your banking liaisons we will also assist you in forming credit and loan applications.

Investor Relations

Your investors are one of the most important assets to your start-up, and we make sure that they remain in the loop. Our efforts concentrate on both individual investors and institutional investors keeping them abreast of all that is new and exciting.

We believe that the more your investors are kept informed the more they will reassured of their decision to invest in your start-up. Satisfied investors make for successful start-ups.
